Preamble

These General Terms and Conditions of Sale (hereinafter "GTCS") govern the sales of monitoring equipment (Temperature Sensors and IoT SIM Cards) by Enthalpic SRL to its professional customers.

These GTCS apply to any equipment order placed via the Seller's webshop or by quote, whether or not this order is linked to a subscription to the Enthalpic Monitoring Services.

Any order implies full and unconditional acceptance of these GTCS, which shall prevail over any other document of the Customer, in particular its own purchasing conditions.

For positive cold rooms (refrigeration temperature), this certification is not legally required but constitutes a guarantee of quality and measurement accuracy.

7.3 Transfer of Risk

The transfer of risk occurs at the time of delivery of the Products to the carrier. From that moment, the Customer bears the risks of loss, theft, or deterioration of the Products during transport.

The Customer is invited to take out transport insurance if desired.

7.4 Receipt and Reservations

Upon receipt of the Products, the Customer is required to check the apparent condition of the packages and Products. In the event of any anomaly (damaged package, missing or damaged Product), the Customer must:

The absence of reservations made under the conditions and within the deadlines specified above constitutes acceptance of the Products and deprives the Customer of any recourse against the carrier and the Seller for apparent damage.

7.5 Refusal of Delivery

Article 8 — Warranty

8.1 Manufacturer's Warranty

The Sensors benefit from the Efento manufacturer's warranty, the conditions of which (duration, scope, exclusions) are defined by the manufacturer. The Seller transmits to the Customer any useful information regarding this warranty.

To invoke the manufacturer's warranty, the Customer must contact the Seller who will assist in the process with the manufacturer.

8.2 Warranty Exclusions

9.3 Maintenance

The Customer is responsible for routine maintenance of the Sensors, including:

Article 10 — Liability

10.1 Seller's Liability

The Seller's liability in respect of the sale of Products is limited to the obligations expressly provided for in these GTCS.

UNDER NO CIRCUMSTANCES SHALL THE SELLER BE HELD LIABLE FOR INDIRECT DAMAGES, INCLUDING:

10.3 Cap

IN ANY EVENT, THE TOTAL LIABILITY OF THE SELLER IS CAPPED AT THE PURCHASE PRICE OF THE PRODUCT CONCERNED.

The Customer acknowledges that the reliability of measurements depends on many factors (Sensor positioning, calibration, network coverage, etc.) and that it is their responsibility to implement control procedures appropriate to their activity.

Article 11 — Relationship with Enthalpic Monitoring Services

11.1 Separate Products and Service

The sale of Products and the provision of the Enthalpic Monitoring Services are two separate services, governed by separate contractual terms.

The purchase of Products does not automatically imply subscription to the Service. Conversely, use of the Service requires the acquisition of compatible Products.

11.2 Compatibility

Products sold by the Seller are compatible with the Enthalpic Monitoring Services. The Seller does not guarantee the compatibility of Products with other third-party monitoring platforms or services.

Article 13 — Personal Data

Personal data collected in connection with the order (identity, contact details, delivery address) is processed by the Seller as data controller, for the purposes of order management, customer relations, and legal obligations (accounting, taxation).

For more information on the processing of personal data and the Customer's rights, the Customer is invited to consult the Seller's Privacy Policy.

Article 14 — Intellectual Property

The sale of Products does not entail any transfer of intellectual property rights over the software, firmware, trademarks, patents, or other intangible elements associated with the Products, which remain the exclusive property of the manufacturer or their respective holders.

The Customer only benefits from a right of use of the Products in accordance with their intended purpose.

Article 15 — General Provisions

15.3 Modification

The Seller reserves the right to modify these GTCS at any time. The applicable GTCS are those in force on the day of the order.

15.4 Evidence

The Seller's computerised records constitute proof of communications, orders, and payments between the parties.

Article 16 — Applicable Law and Jurisdiction
